Sody App Terms of Service

1. Introduction

Welcome to Sody! These Terms of Service ("Terms") govern your access to and use of Sody platform, which includes the Sody consumer application ("Sody App"), Sody salon management application ("Sody Partner"), our website, and any related services (collectively, the "Platform"). Sody connects consumers ("Consumers") with beauty and wellness salons and professionals ("Salons") through a marketplace. Sody facilitates bookings and payments but is not a party to the service agreement between Consumers and Salons.

Please read these Terms carefully before using the Platform. By accessing or using any part of the Platform, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access or use the Platform.

2. Definitions

For clarity, the following terms have these meanings in these Terms:

  • "Consumer": An individual using Sody App to browse, book, and pay for salon services.
  • "Salon": A business or individual service provider offering beauty and wellness services through the Platform. This includes both home-based salons and those with commercial premises.
  • "Sody App": The mobile application for Consumers.
  • "Sody Partner": The mobile application for Salons to manage their business.
  • "Platform": Collectively, Sody App, Sody Partner, website, and related services.
  • "Booking": A request for services made by a Consumer through the Platform.
  • "Deposit": A partial payment required by some Salons to confirm a Booking, facilitated through the Platform.
  • "Package": A prepaid bundle, multi-session offering, credit, or other salon-created promotion or benefit made available by a Salon through the Platform.
  • "Stamp Card": A salon-created loyalty or rewards program made available through the Platform that allows Consumers to collect stamps, credits, or progress toward rewards.
  • "Reward": Any discount, free service, voucher, credit, benefit, or promotional incentive offered by a Salon through a Stamp Card, Package, or similar program.
  • "Service Agreement": The contract for services between a Consumer and a Salon. Sody is not a party to this agreement.
  • "User Content": Any information, data, text, images, videos, reviews, or other content submitted to the Platform by users.

3. Acceptance of Terms

By accessing or using the Platform, you affirm that you are at least 18 years old and have the legal capacity to enter into contracts. If you are using the Platform on behalf of a business (e.g., as a Salon owner), you represent that you have the authority to bind that business to these Terms.

You also agree to comply with all applicable terms and conditions of the Apple App Store and Google Play Store when using the Platform. In the event of a conflict between these Terms and the App Store terms, the App Store terms will prevail regarding your use of the downloaded application.

4. Account Registration and Security

Account Creation: To use certain features of the Platform, you must create an account. You agree to provide accurate, complete, and current information during registration and to keep your information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify Sody of any unauthorized use of your account.

Account Security: Access to your Sody account is secured via One-Time Passwords (OTP) sent to your registered mobile number or email address, or via third-party social logins (e.g., Google, Apple). You are solely responsible for maintaining the security of your devices, email accounts, and third-party credentials. You agree not to share your OTPs with anyone. Sody will never ask for your OTP outside of the App login flow.

Account Types: There are two types of accounts:

  • Consumer Accounts: For individuals seeking services.
  • Salon Accounts (Sody Partner): For businesses and individual service providers. Salon accounts require additional information, as detailed in Section 8.

5. User Content

Responsibility: You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize Sody to use your User Content as described in these Terms. This warranty extends to any content you import onto the Platform from third-party services, such as Instagram.

License to Sody: By submitting User Content, you grant Sody a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Platform and Sody's business, including for promotional purposes. This license also grants Sody the right to use User Content on an aggregated and anonymized basis for internal purposes, such as analyzing trends, improving our services, and developing new features, including the training of machine learning and artificial intelligence models to enhance the Platform's functionality. This includes the right to use your username, salon name, and any associated images or logos.

Prohibited Content: You agree not to submit User Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Infringes any intellectual property rights or other proprietary rights of any party.
  • Contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software or hardware.
  • Includes personal information of others without their express consent.
  • Is false, misleading, or deceptive.
  • Constitutes unsolicited or unauthorized promotional material ("spam").

Content Removal: Sody reserves the right, but is not obligated, to remove or disable access to any User Content that violates these Terms or is otherwise objectionable, in Sody's sole discretion.

Reviews and Ratings: Reviews and ratings must be truthful and based on your actual experience. Sody may remove reviews that are deemed to be fraudulent, abusive, or otherwise violate these Terms.

6. Prohibited Conduct

In addition to the restrictions on User Content, you agree not to:

  • Use the Platform for any illegal purpose or in violation of any local, state, national, or international law.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Interfere with or disrupt the operation of the Platform or servers or networks connected to the Platform.
  • Attempt to gain unauthorized access to the Platform, other user accounts, or computer systems or networks connected to the Platform.
  • Use any robot, spider, scraper, or other automated means to access the Platform for any purpose without Sody's express written permission.
  • Circumvent any measures implemented by Sody to prevent or restrict access to the Platform.
  • Engage in any activity that could damage, disable, overburden, or impair the Platform.
  • Harass, threaten, or intimidate other users.
  • Attempt to reverse engineer, decompile, or disassemble any portion of the Platform.

7. Bookings, Deposits, and Cancellations

Booking Process:

  1. Consumers browse Salons and services on the Sody App and can submit Booking requests for a desired service, date, and time.
  2. Salons review and then accept or reject Booking requests through the Sody Partner app.
  3. A Booking is confirmed only when the Salon accepts the request through the Platform. This acceptance forms the Service Agreement, which is a binding contract directly between the Consumer and the Salon.
  4. Sody is not a party to the Service Agreement. Sody acts solely as a technology platform to facilitate the connection and is not responsible for the quality, safety, legality, or performance of the services provided by the Salon.

Deposits:

  1. Salons may require a Deposit to confirm a Booking. The Deposit amount is set by the Salon and displayed to the Consumer before the Booking request is sent.
  2. Sody facilitates the transfer of the Deposit from the Consumer to the Salon through its designated third-party payment processors. By making a payment, you agree to comply with the terms of the applicable payment processor.
  3. The remaining balance of the service fee is to be settled directly between the Consumer and the Salon at the time of service, outside of the Platform. Sody has no role or responsibility in collecting or managing this final payment.
  4. All transactions are in Singapore Dollars (SGD).

Cancellations and Refunds:

  1. Salon Cancellation Policies: Each Salon is responsible for setting its own cancellation policy. This policy is displayed on their profile and during the Booking process. Consumers are responsible for reviewing and understanding a Salon's policy before making a Booking.
  2. Refunds are the Salon's Responsibility: All decisions regarding the refund of a Deposit are governed by the Salon's cancellation policy. Sody does not control these policies and is not a guarantor of any refund.
  3. Consumer Cancellation: If a Consumer cancels a Booking, any potential refund of the Deposit is subject to the terms of the Salon's cancellation policy.
  4. Salon Rejection or Cancellation: If a Salon rejects a Booking request or cancels a confirmed Booking, the Salon is responsible for initiating any applicable refund of the Deposit to the Consumer. Sody will process a refund to the Consumer only after receiving the corresponding funds and explicit instruction from the Salon. Sody is not obligated to issue a refund from its own funds and shall not be liable for any failure by the Salon to provide funds for a refund.
  5. Health & Safety Disclosure: You are solely responsible for communicating in advance any medical or health-related conditions, allergies, or special needs to the Salon that might affect or be affected by the service. Neither Sody nor the Salon shall be liable for any injury or adverse reaction resulting from your failure to disclose such information.
  6. Disputes and Communication: Any disputes regarding bookings, services, payments, or refunds must be resolved directly between the Consumer and the Salon. Sody provides a messaging feature within the Platform to facilitate communication. While Sody has no obligation to mediate or resolve disputes, if you request our assistance, we will only review communications and transactions that have occurred within the Sody Platform. Sody cannot verify and will not consider any external communications (e.g., WhatsApp, Instagram, SMS) as evidence in any dispute.

8. Salon & Professional Responsibilities (Sody Partner)

This section applies to Salons using Sody Partner application.

Account and Profile Information: You are solely responsible for providing accurate and complete information, including, but not limited to:

  • Business name, UEN (if applicable), legal name, address, and contact information.
  • Bank account details for receiving Deposit payouts (must be a valid Singaporean bank account).
  • Service offerings, pricing, duration, and your cancellation policy.
  • Keeping all information, especially calendar availability, accurate and up-to-date to prevent scheduling conflicts.

Legal and Professional Conduct: You represent and warrant that:

  • You possess all necessary licenses, permits, and registrations required to operate your business and legally provide your services in Singapore.
  • You will comply with all applicable Singaporean laws and regulations, including those related to health, safety, and consumer protection.
  • You will provide all services in a professional, safe, and competent manner.
  • You will handle all direct interactions with Consumers, including the collection of final payments, professionally and lawfully.

You further warrant that your business operations comply with all applicable housing regulations for home-based businesses in Singapore, including any rules set by the Housing & Development Board (HDB) or Urban Redevelopment Authority (URA).

Platform Circumvention & Non-Solicitation: You agree not to solicit Consumers to make bookings outside of the Platform (e.g., "taking the client off-app") for the purpose of avoiding Platform Fees. Specifically, you may not encourage a Consumer to cancel a Sody Booking and rebook directly with you. Doing so is a material breach of these Terms and may result in immediate account termination.

Service Fulfillment: You must honor all confirmed bookings at the price and terms listed at the time of booking. You may not impose any extra fees or charges upon the Consumer at the venue that were not disclosed in the Booking, unless expressly agreed to by the Consumer for additional services.

9. Fees, Payments, and Billing

Payment Methods: To use certain paid features (e.g., purchasing a salon-created Package or Credit, purchasing an Explorer Voucher, booking via Sody Express, or subscribing to Sody Partner plans), you may be required to add a valid payment method (e.g., credit/debit card) to your Sody account.

Authorization: By adding a payment method, you authorize Sody and our third-party payment processors to store your payment credentials and charge your default payment method for any fees you incur. You are responsible for keeping your payment information current.

Security: Sody does not store your full credit card information on our servers. All payment data is securely processed and stored by our third-party payment partners (e.g., Stripe, HitPay) in compliance with PCI-DSS standards.

For Consumers (Sody App)

Platform Fees: Access to the Sody Platform for browsing and standard direct bookings is currently provided free of charge to Consumers. However, Sody charges fees for certain premium features, such as the "Sody Explorer Pass" purchase fee and Sody Partner subscriptions. Salon-set prices for services, Packages, or Rewards are determined by the Salon, not by Sody. All applicable fees or charges disclosed through the Platform will be shown to you prior to purchase or confirmation.

Limited Payment Collection Agent: Sody acts as the limited commercial payment collection agent for the Salon. When you pay a Deposit to Sody, your payment obligation to the Salon for that amount is deemed fulfilled.

Packages, Credits, and Manual Approval Flows: Sody may provide software tools that allow Salons to offer Packages and Credits and to accept automatic or manual payment or approval workflows through the Platform. Sody only provides the software experience for these flows. The applicable Package or Credit terms, pricing, validity, fulfillment, approval or rejection, and any resulting dispute remain solely between the Consumer and the Salon.

For Salons (Sody Partner)

Payouts & Set-Off Rights: Sody will remit net proceeds (Booking Fees/Deposits minus Platform Fees) to the Salon in accordance with our payout schedule. Sody reserves the right to deduct (set-off) from these payouts any amounts the Salon owes to Sody, including unpaid subscription fees, refunds issued to Consumers, or chargeback costs.

Sody Partner Subscriptions (SODY PLUS+):

  • Subscription Plans: Sody offers paid subscription tiers (e.g., "SODY PLUS+") that unlock advanced business tools such as Forms, Link in Bio, and Verified Badges.
  • Recurring Billing: Subscriptions are billed in advance on a recurring basis (e.g., Monthly or Yearly). By upgrading to a paid plan, you authorize Sody to automatically charge your designated payment method at the start of each billing cycle until you cancel.
  • Custom Domains (Add-On): You may purchase a custom domain (e.g., "yourname.com") as an add-on. Important Restrictions: Domains purchased through Sody are registered by us on your behalf via a third-party registrar. These domains are configured exclusively to point to your Sody Link in Bio. You will not have direct access to DNS settings to point the domain to external websites (e.g., Wix, Shopify). If you wish to use the domain elsewhere, you must request a "Transfer Out." You are responsible for any transfer fees charged by your new registrar.
  • Cancellation: You may cancel your subscription at any time via the "Manage Subscription" settings in the Sody Partner app. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the period ends, after which your account will revert to the free tier.
  • No Refunds: Subscription fees and Custom Domain registration fees are non-refundable. Once a domain is registered or renewed, the cost is incurred immediately and cannot be reversed.
  • Payment Failure: If a renewal payment fails, Sody may retry the charge. If payment cannot be secured, your access to PLUS+ features or your Custom Domain may be immediately suspended or downgraded.
  • Price Changes: Sody reserves the right to change subscription pricing. We will provide reasonable notice of any price changes. Continued use of the service after the price change takes effect constitutes your agreement to pay the new amount.

10. Packages, Credits, Stamps, Explorer Voucher, Express, and Referral Program

Packages and Credits:

  • Salon-Created Offerings: Packages and Credits are created, configured, priced, approved, managed, and fulfilled solely by the Salon. Sody only provides the technology used to display, facilitate, or manage these offerings through the Platform.
  • Salon Terms Apply: Each Salon is solely responsible for the Package or Credit terms it sets, including pricing, inclusions, exclusions, booking requirements, cancellation consequences, transferability, validity periods, expiry, refunds, approval rules, and redemption rules. Consumers are responsible for reviewing those terms before purchase or use.
  • No Guarantee or Fulfillment by Sody: Sody is not the seller, issuer, guarantor, or obligor of any Package or Credit and is not responsible for whether a Salon approves, honors, rejects, modifies, or fulfills a Package or Credit.
  • Disputes: Any dispute regarding a Package or Credit, including payment, approval, validity, expiry, balance calculation, redemption, refusal to honor, or alleged misrepresentation, is solely between the Consumer and the Salon. Sody has no obligation to mediate or resolve such disputes.

Stamps and Rewards:

  • Salon-Managed Loyalty Programs: Sody may provide tools that allow Salons to create and manage Stamp Cards, Rewards, loyalty mechanics, and similar promotional programs. These programs are created, configured, administered, and fulfilled solely by the Salon.
  • Salon Responsibility: Each Salon is solely responsible for all terms relating to stamps and Rewards, including eligibility, earning criteria, minimum spend, stacking rules, exclusions, redemption conditions, expiry, availability, and whether a Reward is honored.
  • No Cash Value or Guarantee by Sody: Unless expressly stated by the Salon, stamps and Rewards have no cash value and are not redeemable for cash. Sody does not issue, guarantee, or insure any Reward and is not responsible for expired, unavailable, modified, or refused Rewards.
  • Changes or Discontinuation: Salons may change, suspend, or discontinue their Stamp Cards or Rewards programs, subject to applicable law. Sody is not liable for any impact arising from a Salon's changes, suspension, discontinuation, or refusal to honor a Reward.

Sody Explorer Voucher:

  • Description: The Explorer Voucher is a paid feature that grants Consumers specific benefits, such as discount vouchers ("Vouchers") to be used at participating Salons.
  • Purchase & Validity: The Explorer Voucher is a one-time purchase and does not auto-renew. Vouchers included are valid for sixty (60) days from the date of purchase. Unused vouchers will expire after this period and cannot be reinstated or refunded.
  • Eligible Services Only: Vouchers are valid only for services that are clearly marked as eligible for voucher use in the Sody App at the time of booking. If a service is not indicated as eligible, the Voucher will not apply to that booking.
  • Usage Restrictions: Vouchers are valid strictly for first-time visits to a participating Salon. You cannot use a Voucher at a Salon where you have previously booked a service or are an existing client. Each Voucher must be used at a different Salon.
  • Availability & Verification: Participating Salons are subject to change without notice. Sody does not guarantee the availability of any specific Salon. Salons reserve the final right to verify your "first-time visit" status. If a Salon determines you are an existing client, they may refuse the Voucher, and you will be required to pay the full price of the service. Sody is not liable for such refusals.
  • Refunds & No Cash Value: The Explorer Voucher purchase fee is non-refundable. Vouchers have no cash value and cannot be exchanged for cash or credit. If a booking made with a Voucher is rejected or proactively cancelled by the Salon or Consumer (subject to cancellation policies), the Voucher will be returned to your Sody account for future use within the original validity period.

Sody Express:

  • Description: Sody Express allows Consumers to submit specific service requirements ("Requests"), including preferred dates, times, locations, and reference images, to receive price quotes ("Quotes") from multiple Salons.
  • No Obligation & Quotes: Submission of a Request is free and does not obligate the Consumer to book any of the received Quotes. Salons are under no obligation to provide a Quote. Quotes are estimates; final pricing may be adjusted by the Salon upon in-person assessment (e.g., for hair length/density).
  • Fees: Sody Express is currently provided free of charge to Consumers. If Sody introduces any Sody Express service fees in the future, we will clearly disclose them to you before you confirm a booking.

Referral Program:

  • Eligibility: To participate as a "Referrer," you must have a registered Sody account with a verified phone number.
  • Qualified Referral: A "Qualified Referral" occurs only when a new user ("Referee"): (i) uses your unique referral link or code to create an account; (ii) has never previously created a Sody account or booked a service; and (iii) completes a financial transaction (such as purchasing an Explorer Voucher or completing a paid Booking) that meets the minimum value requirement indicated in the App. Account creation alone does not constitute a Qualified Referral.
  • Rewards & Expiry: Rewards (e.g., Credits or Vouchers) are granted only upon the verification of a Qualified Referral. Rewards have no cash value, are non-transferable, and cannot be cashed out. Unused Rewards will expire on the date indicated in the App or upon termination of your account.
  • Conduct & Anti-Spam: You agree to share your referral link only with personal friends, family, and acquaintances ("Personal Connections"). You must not publish or distribute the link via commercial methods, including but not limited to coupon websites, Google Ads, mass emailing, or spamming strangers. Sody reserves the right to revoke Rewards if we detect usage inconsistent with personal sharing.
  • Anti-Fraud & Rights: You may not refer yourself, create multiple accounts (duplicate accounts), or use bots/scripts to earn rewards. Sody reserves the right to review and investigate all referral activities and to suspend accounts or revoke Rewards if we believe, in our sole discretion, that they were earned through fraudulent, illegal, or abusive activity.
  • Limitation of Liability: Sody’s liability regarding the Referral Program is limited solely to the provision of the stated Reward for a verified Qualified Referral. We are not responsible for any technical errors that prevent the tracking of a referral.

11. Intellectual Property

Sody's Intellectual Property: The Platform and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Sody and its licensors. The Platform is protected by copyright, trademark, and other laws of both Singapore and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Sody.

Limited License: Sody grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose, subject to these Terms.

12. Disclaimers of Warranties

Platform "As Is": The Platform is provided "as is" and "as available," without warranty of any kind, express or implied. Sody disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

No Guarantee of Availability: Sody does not guarantee that the Platform will be uninterrupted, error-free, or secure. We may suspend or discontinue the Platform, or any part of it, at any time without notice.

No Endorsement: Sody does not endorse, warrant, or guarantee the quality, safety, or legality of any services offered by Salons. We do not conduct background checks on Salons. Consumers are responsible for conducting their own due diligence before booking services.

No Responsibility for Salon Services, Conduct, or Safety: You acknowledge and agree that the Service Agreement is between you and the Salon, and Sody is not a party to it. Sody has no control over and is not responsible for the quality, safety, hygiene, legality, or any other aspect of the services provided by Salons. This includes, but is not limited to, the professional conduct of the Salon's staff, the condition of their premises, and the outcome of any service. You agree that Sody is not liable for any claims, injuries, damages, losses, or harm of any kind arising from your interaction with or services received from a Salon, including any personal injury, allergic reaction, infection, or dissatisfaction with the service.

Acknowledgment of Risk for Home-Based Services: The Platform exclusively lists home-based salons. You acknowledge and agree that booking a service with a home-based salon means you will be entering a private residence. Sody does not inspect, vet, or tour any salon premises. You are solely responsible for your own safety and judgment when visiting a Salon's location. By using the Platform, you voluntarily assume all risks associated with entering a private residence, and you agree to release Sody from any and all liability or claims arising from your visit to a Salon's premises.

Third-Party Services: The Platform relies on third-party services, such as payment processors and mapping services. Sody is not responsible for the acts or omissions of these third-party providers. Your interactions with any third-party services are solely between you and such third party.

Localization and Translation Features: The Platform may offer localized interfaces, translated content, or tools that translate chat messages, booking notes, and similar text. These features are provided for convenience only, may be incomplete, unavailable, or inaccurate, and should not be relied upon as the sole basis for any booking, payment, medical, safety, or business decision. You remain responsible for reviewing and confirming the original or intended meaning of any translated content before acting on it.

No Responsibility for Salon-Created Packages, Credits, Stamp Cards, or Rewards: Sody does not create, sell, issue, administer, or fulfill salon-created Packages, Credits, Stamp Cards, Rewards, or similar promotions. Sody does not warrant that any such offering will be available, accurately described, honored, redeemable, non-expired, or suitable for your needs. Any loss, dispute, refusal, error, or dissatisfaction relating to these offerings is solely between you and the Salon.

13. Limitation of Liability

Limitation of Liability: To the maximum extent permitted by Singaporean law, Sody shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Platform;
  • Any conduct or content of any third party on the Platform, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties;
  • Any content obtained from the Platform;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • Any services provided by Salons or any dispute between you and a Salon or Consumer.
  • Any Package, Credit, Stamp Card, Reward, loyalty program, promotion, or other salon-created offering, including any dispute over pricing, approval, availability, expiry, balance, redemption, or fulfillment.

Maximum Liability: In no event shall Sody's aggregate liability for all claims relating to the Platform exceed the greater of one hundred Singapore dollars (SGD 100.00) or the total amount of any fees you paid to Sody in the twelve (12) months preceding the event giving rise to the liability.

Exclusions: Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability. Accordingly, some of the above limitations may not apply to you. In such cases, Sody's liability will be limited to the greatest extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless Sody and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) Your use of the Platform; (b) Your User Content; (c) Your violation of these Terms; (d) Your violation of any rights of another party, including any Salon or Consumer; or (e) Any dispute between you and another user of the Platform.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

16. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its Arbitration Rules. The arbitration shall take place in Singapore, and the language of the arbitration shall be English. The arbitrator's award shall be final and binding. This clause does not prevent either party from seeking injunctive relief from a court of competent jurisdiction.

17. Modifications to the Platform and Terms

Sody reserves the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date, and we may also notify you via email or an in-app notification. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.

18. Termination

Sody may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including, but not limited to:

  • Breach of Terms: If you breach these Terms or our Community Guidelines.
  • Disruptive Behavior: If you have a history of excessive cancellations, "no-shows", refunds, or chargebacks that negatively affect our Salons or the Platform experience.
  • Fraud & Safety: If we reasonably suspect fraud, money laundering, or abuse, or if your actions pose a safety risk to other users or our staff.
  • Inactivity: Extended periods of inactivity.

Upon termination, your right to use the Platform will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Sody also reserves the right, at its sole discretion, to investigate complaints or reported violations of our Terms and to take any action we deem appropriate. Such action may include, but is not limited to, issuing warnings, or suspending or terminating a user's account to protect the integrity of the Platform. This right to act is not an obligation to intervene in any specific user-to-user dispute.

19. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Sody regarding your use of the Platform.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall be enforced.

Waiver: Sody's failure to enforce any right or provision will not be considered a waiver of those rights.

Assignment: You may not assign these Terms without Sody's prior written consent. Sody may assign these Terms without restriction.
